How the estimate is built
What the figures include
- Firms' figures are starting prices published by firms listed on Accountanty, read from their websites in October 2026: the range runs from the lower to the upper quartile, with at least 8 firms; "from" means 5 to 7 firms; below 5 the price is on request.
- Official fees are added up only for the base option named in the breakdown. Other options and fees that apply only in some cases are listed separately.
- The minimum capital of an SL has been EUR 1 since 19 October 2022; some official pages still mention EUR 3,000.
- Publication of an online SL in the official gazette (BORME) is free of charge.
- For an ordinary incorporation the registry fee follows a scale on the share capital (for example 0.10% between EUR 3,005.06 and EUR 30,050.61), capped and reduced by 5%.
- The fixed online fees also require no shareholders that are legal persons, capital up to EUR 30,000 and a listed board structure.
- The EU parent company exemption from withholding tax does not apply when most voting rights are held by persons resident outside the EU or EEA, subject to anti-abuse exceptions.
- No domestic VAT registration threshold applies; the Canary Islands, Ceuta and Melilla are outside the Spanish VAT territory.
