Taxes in Estonia

Your country of residence may tax the dividends you receive, and it may also tax the company's profits under its rules on foreign companies controlled by its residents. A company managed from your country may be treated as resident there. This is general information, not tax advice.

Corporate tax

  • An Estonian company pays corporate income tax only when it distributes profit, at 22/78 of the net distribution (22% of the gross amount); profit kept in the company is not taxed. emta.ee
  • The rate stays at 22% in 2026: the increase planned for 2026 was cancelled in December 2025. emta.ee
  • The planned security tax on company profits was repealed in June 2025. riigikogu.ee
  • The income of an Estonian company is also taxed abroad when the company is managed from outside Estonia. emta.ee

Tax on dividends paid abroad

  • From 2025 Estonia does not tax dividends received by non-resident individuals, except dividends from profits taxed at the former 14/86 rate up to 2024. emta.ee

VAT

  • VAT standard rate 24% from 1 July 2025; other rates 13%, 9% and 0%. emta.ee
  • VAT registration is required once taxable supplies in Estonia exceed EUR 40,000 from the beginning of the calendar year. emta.ee

How the estimate is built

What the figures include

  • Firms' figures are starting prices published by firms listed on Accountanty, read from their websites in October 2026: the range runs from the lower to the upper quartile, with at least 8 firms; "from" means 5 to 7 firms; below 5 the price is on request.
  • Official fees are added up only for the base option named in the breakdown. Other options and fees that apply only in some cases are listed separately.
  • The Business Register lists a state fee of EUR 265 for expedited and EUR 200 for regular processing.
  • The e-Residency card state fee becomes a flat EUR 165 from 1 January 2027.
  • A company may have its address abroad if it names a contact person in Estonia, which is why a contact person is the required service.
  • The e-Residency programme indicates EUR 200 to 400 a year for a contact person or legal address from service providers; this is not a state fee.

What the cost of a company in Estonia is made of

An Estonian private limited company (OÜ) founded online carries two state fees for most founders from abroad. Founding it electronically in the e-Business Register costs EUR 265, and a founder without an Estonian ID card first needs the e-Residency digital ID, whose state fee is EUR 150 and becomes a flat EUR 165 from 1 January 2027. The share capital can be as low as EUR 0.01 with one shareholder, paid in full before the application. Applications are reviewed in up to one working day.

When the management board is abroad, the company names a contact person with a residence and address in Estonia, such as a trust and company service provider authorised by the Financial Intelligence Unit. Eight firms publish yearly starting prices for that role between EUR 142 and EUR 291, and 26 firms publish prices for a registered office address from EUR 199 to EUR 286.

For the firms’ part of the Estonia company formation cost, 36 firms list starting prices between EUR 294 and EUR 499 at the quartiles. Ten of them say the state fee is included, 5 say it is not, and 21 do not say.

Every year an annual report goes to the registry within six months of the year end, even with no activity, and 57 firms publish yearly accounting starting prices between EUR 300 and EUR 948. The calculator below combines the Estonian state fees with the services you tick; the Estonia guide and company formation in Estonia list the firms, and you can request quotes.

Setup costs in Estonia: questions and answers

Do I need e-Residency to found an OÜ online?

Online founding is signed with an e-Residency card, an Estonian ID card, Smart-ID or Mobile-ID. A founder with none of these pays the EUR 150 e-Residency card fee first, or founds the company through an Estonian notary, for whose fee no official amount is shown.

Is a contact person a yearly cost in Estonia?

Usually, yes, when the management board is abroad. The contact person may be a notary, attorney, sworn auditor, tax representative or trust and company service provider (e-Residency), and each sets its own yearly fee. The registrar decides whether the person named meets the requirement.

Does an Estonian company with no activity still have costs?

Yes. The annual report is due within six months of the financial year end even when the company did nothing, and micro and small companies file at least a balance sheet, an income statement and notes. Eighteen firms publish starting prices for filing it, from EUR 54 to EUR 206.

How are profits taxed in an Estonian company?

Corporate income tax of 22/78 applies when profit is distributed; undistributed profit is not taxed in Estonia. If the company is managed from outside Estonia, its income is also taxed abroad, and your country of residence may tax the dividends you receive, so check both before relying on the Estonian rule.
