Audit in Denmark

Whether a Danish company needs an audit depends on its size. A class B company may skip it when, in two years running, it stays under two of three limits: DKK 4 million in balance sheet total, DKK 8 million in net turnover or an average of 12 full-time employees. Larger companies, and some entities such as commercial foundations, are audited. A foreign owner may also want a voluntary audit for a lender or a parent.

The signer must be an authorised auditor, and the Danish Business Authority keeps a public register of approved auditors and audit firms. In a profile, look for the state-authorised or registered title, ask who signs the report, and ask whether the firm also keeps your books, since independence rules can limit what one firm may do for the same client.

Frequently asked questions

Does my Danish subsidiary have to be audited?

Not necessarily. Small class B companies can opt out if they stay under two of the three size limits for two years in a row. Ask a firm to test your figures, and note that a parent or lender may still ask for an audit.

How do I check that an auditor is approved?

The Danish Business Authority keeps a public register of approved auditors and audit firms. Ask for the firm's registration and check it there before you sign an engagement letter.

Can the firm that keeps my books also audit me?

Often not for the same engagement. Independence rules limit this. Ask each firm how it separates bookkeeping from audit work, and whether it will refer one of the two.
