Corporate secretarial in Bulgaria

Corporate secretarial work keeps a company’s record accurate. In Bulgaria that includes changes to the manager, the address or the owners, resolutions of the owners and the information held on beneficial owners. Entries and changes to the beneficial owner record have to be requested within seven days of the circumstance occurring, which is hard to manage from abroad without local help.

Ask the firm who drafts the resolutions, who submits them to the register, how quickly you will be told about a change and whether you receive copies in English. Check whether the firm can also act as the contact person for the registers, if you have no one resident in Bulgaria.

Frequently asked questions

What changes must a Bulgarian company report to the register?

Typically changes of manager, address, owners and beneficial owners, and amendments to the founding documents. A firm can maintain a list of events that trigger a filing.

Can I act as sole manager from abroad?

The law and the register's practice determine this, and a resident contact may be needed for some records. Ask a firm to confirm the current position for your company type.
