Corporate secretarial in Cyprus

A Cypriot company must have one secretary, aged eighteen or over, and in the case of a private company with one member and one director the director may also act as secretary, according to the Registrar of Companies. Corporate secretarial work is everything that follows: the registers, minutes and resolutions, changes of directors or shareholders, and the filings that keep the registry up to date.

For a company run from abroad, a firm often supplies the secretary and handles this routine. Ask what the retainer covers, how fast the firm records a change of director, and whether registered-office use or board meeting preparation is included. Check the licences declared on the profile, since some services, such as acting as a nominee or administering companies, are regulated and need a licence.

Accountanty lists 175 firms in Cyprus that offer corporate secretarial work: 97 accounting firms, 60 corporate services providers and 18 law firms. Most firms name real estate, shipping or funds among the sectors they serve. See the Cyprus guide, or look at practices in Nicosia and Larnaca.

Only in the narrow case of a private company with one member and one director, where the director may also be secretary. In other cases the roles are separate. A firm can confirm what applies to your structure.

What is usually included in a secretarial service?

The statutory registers, minutes and resolutions, officer changes, and filings with the registry. Registered office and meeting support are sometimes extra, so ask for the scope in writing.
