Company formation in Romania

For foreign founders, company formation in Romania is normally carried out by a local accounting firm, law firm or corporate services provider. The provider reserves the name, drafts the constitutive act in Romanian, arranges the registered office, files with the trade register and often stays on as your accountant. That last part is why the choice matters: the firm that forms your SRL tends to keep its books, file its tax returns and deal with ANAF for years.

The choice is what this page deals with: the provider’s role, what it asks of you, what a fair quote covers and how to vet a firm before signing. For the legal steps themselves, the documents, capital and tax regimes, read our guide on how to set up a company in Romania.

What a formation provider handles in Romania

The provider takes your instructions and carries them through to a registered company. The work usually covers:

The legal requirements behind each step, with links to ONRC and ANAF, are in our Romania company setup guide.

Choosing between accountant, lawyer and corporate services firm

The Accountanty directory shows 136 Romanian firms that handle company formation. The breakdown is 111 accounting firms, 16 corporate services providers and 9 law firms. Small practices number 122, with 10 medium-sized firms and 4 in larger networks.

Each type has a natural strength:

Size matters less than fit. A small firm that works in your language and replies the same day can serve a one-person SRL well, while a group with several Romanian entities may need a firm with audit and consolidated reporting experience.

What the provider needs from you

A provider can move only as fast as your documents. Expect to be asked for:

  1. Passports of every founder and administrator.
  2. For a corporate founder: the parent company’s registration documents and a mandate for the person who signs on its behalf, translated into Romanian.
  3. Three possible names for the company, in order of preference.
  4. The activities the company will carry on, and where it will carry them on.
  5. The share capital you plan to contribute. For a new SRL the legal minimum is 500 lei.
  6. Ownership details for the beneficial owner declaration, down to the individuals at the top of the chain.
  7. A power of attorney, if the provider will sign and file for you.

Providers run identity and source-of-funds checks on new clients. A firm that asks detailed questions about you and your money is doing its job, so answer fully and early.

What belongs in a Romanian formation quote

Providers price differently, so weigh each line of a quote and not only the bottom figure. Of the 136 formation firms on Accountanty, just 48 publish any prices. A clear quote separates:

ItemWhat to check
Official feesThe trade register fee and the fee for publishing the registration in the Official Gazette. Ask for the current amounts as a separate line.
TranslationsAuthorised translations of documents signed abroad, and any certification your country requires.
The provider’s feeName reservation, drafting, filing and follow-up. Find out if a rejected application is refiled free of charge.
Registered officeThe address for the first year, the renewal price and what happens to your post.
SignatureWhether the provider files with its own qualified electronic signature under your power of attorney, or you need one.
Post-registrationTax regime set-up, VAT registration if needed, payroll set-up and the first months of bookkeeping.

Watch for a low headline price that leaves out the office, the translations or the tax set-up. Ask the firm to put in writing which steps are included and which are billed later.

Vetting a formation firm before you commit

Some quick checks now can spare you problems down the line.

Accountanty doesn’t rank firms. What a listing means is explained on our how we select firms page.

Working with a provider from abroad

Most of the formation process can go ahead while you stay abroad. Two tools make that possible:

The documents themselves have to be in Romanian, so anything you sign abroad will be translated by an authorised translator. Keep a copy of every document the provider files, with its translation, so you can show your own bank, auditors or tax adviser what was signed.

If the company will need a Romanian bank account, ask at the first call which bank the provider works with and whether you will have to travel. Each bank sets its own rules for foreign founders. Some firms offer bank account assistance in Romania as a separate service.

Services after incorporation

Registration is the start of the relationship, and most firms that form companies also run them. Of the 136 firms offering formation on Accountanty, 128 offer accounting, 127 tax compliance, 121 payroll and 86 VAT services. Fewer cover the specialist work: 73 offer corporate secretarial services, 41 a virtual office, 36 audit, 11 bank account assistance and 9 residency and visa support.

After registration, expect to agree:

Ask for the monthly fee for the first year together with the formation quote. A low formation price paired with a high accounting fee isn’t a good deal.

Red flags when choosing a provider

Finding a provider in Bucharest, Timisoara or Cluj-Napoca

Formation firms on Accountanty are concentrated in three cities: 83 in Bucharest, 25 in Timisoara and 25 in Cluj-Napoca. Browse accountants in Bucharest, accountants in Timisoara and accountants in Cluj-Napoca, or compare firms by language and service on each profile. Since so much can be done at a distance, a firm’s experience with clients like you counts for more than where it sits.

One free quote request through Accountanty saves you approaching each firm separately. After a check on our side, it goes to firms matching your company type, language and city, and they answer you directly.

Settling on a firm for company formation in Romania

The filing is the quick part: ONRC’s registrar decides within a working day. The decision that shapes the next few years is the firm you choose for company formation in Romania: one that itemises every fee, handles the office and translations, explains the tax regime choice and can keep your books once the company exists. Get two or three itemised quotes, check the firm in the trade register, and agree the post-registration work before you sign.

Frequently asked questions

How to open a company in Romania as a foreigner?

Most foreign founders form an SRL through a local accounting firm, law firm or corporate services provider acting under a power of attorney. The provider reserves the name, drafts the constitutive act in Romanian, arranges the registered office and files with the trade register. Our Romania company setup guide covers each legal step with official sources.

How much does it cost to establish a company in Romania?

The total is made up of the trade register and Official Gazette fees, translations, the registered office, the share capital and the provider's own fee. A new SRL needs at least 500 lei of capital. Providers price the rest differently, so ask each one for an itemised quote and check whether bookkeeping is included.

What does SRL mean in Romania?

SRL stands for societate cu răspundere limitată, a limited liability company. It is the form most foreign founders use, and the one formation firms on Accountanty name most often. The owners' liability is limited to their capital contribution, and one person or company can own all of it.

Can company formation in Romania be done remotely?

Largely, yes. ONRC accepts applications filed through a representative and applications sent online with a qualified electronic signature. You will still need documents translated into Romanian and a registered office in Romania. Whether you travel usually depends on the bank, so ask the provider at the start.

Is VAT registration part of company formation?

Not automatically. Registering with the trade register and registering for VAT are separate steps. VAT registration must be requested once turnover passes 395,000 lei, and some businesses that sell to other EU countries register earlier. Check whether the provider's package covers the VAT application.
