What the cost of a company in Romania is made of
In Romania the usual form for a small company is the limited liability company (SRL). Law 265/2022 on the trade register states, in article 44, that no fees or tariffs are charged for registration in the trade register or for later entries, so under that rule the registration itself carries no official fee. The acts of the company are published in the Monitorul Oficial, Part IV, where the official publication fee is RON 152 per manuscript page of 2,000 characters including spaces, VAT included, from 4 February 2026, so the total depends on the length of the act. A name reservation fee and notary fees, if any, have no published amount.
The minimum capital of a newly formed SRL is RON 500, under the rules in force from 18 December 2025. Once the company’s net turnover exceeds RON 400,000, the minimum rises to RON 5,000. Registration follows a short sequence. You first check that the company name is available, before the constitutive act is drafted; the check can also be done online and stays valid for one month. The constitutive act is then signed, and the application must be filed within 15 days of it. The registrar decides within one working day of filing.
Every SRL needs a registered office, and the registration file includes the document proving the company’s right to use it, as the trade register (ONRC) sets out. A founder who has no premises of their own in Romania therefore arranges an address before filing, which is why a registered office is a service you may need from a firm.
Each year the company files its annual financial statements within 150 days of the year end (ANAF). The fee of the accountant who prepares them is set by the firm, not by law.
Twenty-three firms on Accountanty publish a price for company formation and 21 publish a yearly price for accounting, so the calculator shows their range; nine firms publish a price for a registered office, and two quote VAT registration on request. The official fees above are separate from what a firm charges for its services, which depend on your partners, activity and turnover: ask each firm to show the two apart in its quote.
