What the cost of a company in Lithuania is made of
In Lithuania a company is usually set up as a private limited company (UAB), registered in the Register of Legal Entities kept by the Centre of Registers. The registration fee depends on how the documents reach the register: EUR 14.02 for documents submitted electronically through the Self Service, also when a notary files, and EUR 30.83 for paper documents by post or at a customer service unit. Before filing you can reserve the name: the temporary recording of the company name is optional and costs EUR 6.75, an evaluation of name similarity EUR 8.04, with a decision within 1 working day.
The minimum authorised capital of a UAB is EUR 1,000, and each shareholder pays in at least a quarter of their contribution at founding, into an accumulation account. There are two routes. You file yourself in the Self Service with a qualified e-signature, using the model documents, or you go through a notary, who submits through the Self Service or hands you the documents for a customer service unit. The register decides within 1 working day online and within 3 working days for paper documents. The notary’s own fee and the bank charges for the accumulation account are not published.
A founder from abroad logs in to the Self Service with an e-Resident card or an EU eIDAS login, as the Centre of Registers’ rules set out; without one, the notary route remains. Either way the company needs a registered office, and the premises owner signs the consent with a qualified e-signature.
Every year the company submits its annual financial statements to the Register of Legal Entities, and the submission is free of charge. The VAT registration threshold is EUR 45,000 a year. Accounting is a professional cost, not an official one.
On Accountanty, 23 firms publish a price for formation and 31 a yearly price for accounting, so the calculator shows their range; for a registered office, five firms publish a starting price, while VAT registration (four firms), visa support (three) and help with the bank account (one) are priced on request. The official fees above are separate from what a firm charges for its services, which depend on your shareholders, activity and turnover: ask each firm to show the two apart in its quote.
