What the cost of a company in Bulgaria is made of
In Bulgaria the usual form is the limited liability company: an EOOD with one owner, or an OOD with several. The fee for registration in the Commercial Register depends on how you file. Filed electronically it is EUR 28.12 (BGN 55), and filed on paper EUR 56.24 (BGN 110), under the Registry Agency’s state fee tariff. The tariff is still set in leva: since Bulgaria adopted the euro on 1 January 2026, the euro amounts are the equivalents at the fixed rate EUR 1 = BGN 1.95583. Reserving the company name first is optional and costs EUR 10.23 (BGN 20) electronically or BGN 40 on paper.
The minimum capital is EUR 1 (BGN 2), according to the Ministry of Economy; when the capital is above the minimum, at least 70% is paid in before registration. The capital goes into a special account at a Bulgarian bank, whose charge follows the bank’s own tariff, with no official amount published. The manager’s consent and specimen signature are notarised, at EUR 3.07 (BGN 6) per signature. The other documents are the founding act, the decision appointing the manager, the bank certificate of the paid-in capital, application A4 and the declarations under the Commercial Register Act and the Commerce Act (Registry Agency, how to register a company).
The whole application can be filed online only if the applicant has a qualified electronic signature (QES); without one, it is filed on paper at the higher fee. The registration official decides immediately after three working days from receipt (Commercial Register Act, art. 19).
Each year the annual financial statements are published in the Commercial Register with no state fee, and any change to the registered details is filed within 7 days of the event. From 1 January 2026 VAT registration applies at EUR 51,130 of taxable turnover, with the application due within 7 days (National Revenue Agency).
On Accountanty, 49 firms publish a price for formation and 51 a yearly price for accounting, so the calculator shows their ranges; 18 firms publish a price for VAT registration and 8 for a registered office. Firms’ prices published in leva are converted at the same fixed rate. The official fees above are separate from what a firm charges for its services: ask each firm to show the two apart in its quote.
