What the cost of a company in Jersey is made of

The calculator covers the private company limited by shares under the Companies (Jersey) Law 1991, incorporated online through the JFSC’s myRegistry system. The official fee depends on the service level you pay for, under the 2026 JFSC fees notice: GBP 205 for approval within 5 business days, GBP 308 within 3, GBP 395 within 2, GBP 543 within 1 business day and GBP 856 within 2 hours. A faster service replaces the 5 day fee rather than adding to it.

For par value shares there is no minimum authorised or issued share capital requirement (JFSC). A private company may have a single member and needs at least one director and a secretary; a sole director cannot also be the secretary. Approval takes between 2 hours and 5 days depending on the risk factors, the service level and whether a name was reserved, according to the JFSC, and includes consent to issue shares. Most businesses also need a business licence to trade and employ staff, a separate step from incorporation.

Unless the beneficial ownership is 100% held by Jersey residents, the application is made by a JFSC regulated provider licensed for formation services. The company needs a registered office in Jersey at all times and a nominated person with a link to Jersey, such as a Jersey-resident director or secretary, a Jersey lawyer or accountant, or a Jersey registered trust company business. No residence rule for directors is published.

Each year the company files a confirmation statement between 1 January and the last day of February. The fee is GBP 339 for a company administered by a trust company business and GBP 220 for an ordinarily administered company, both including a Government levy; a late statement costs from GBP 77 to GBP 774 depending on the month. The company tax return is filed by midnight on 30 November of the following year. A private company does not file accounts with the Registrar and needs no audit unless its articles require one. Tax resident companies with income from a relevant sector, such as holding company or intellectual property, must show adequate economic substance in Jersey.

Fewer than five firms on Accountanty publish a price for any of these services in Jersey, so the calculator shows firm prices as on request. The official fees above are separate from what a firm charges: ask each firm to show the two apart in its quote.

Setup costs in Jersey: questions and answers

Which JFSC incorporation fee applies to a Jersey company?

The fee depends on how fast you want approval: GBP 205 within 5 business days, GBP 308 within 3, GBP 395 within 2, GBP 543 within 1 and GBP 856 within 2 hours. The 5 day service has the smallest registry fee, and a faster service replaces it rather than being added. An out of hours service, by agreement, costs at least GBP 1,548.

Can a non-resident form a Jersey company directly?

A beneficial owner can apply directly only when they reside in Jersey and the beneficial ownership is 100% held by Jersey residents. Otherwise the application comes from a JFSC regulated service provider licensed for formation services. The company also needs a registered office in Jersey and a nominated person with a Jersey link, such as a Jersey registered trust company business.

What does a Jersey company pay the JFSC every year?

The annual confirmation statement is filed between 1 January and the last day of February. It costs GBP 339 for a company administered by a trust company business and GBP 220 for an ordinarily administered company, both including a Government levy. A statement filed late costs from GBP 77 in March up to GBP 774 in September.

Does a private Jersey company file or audit its accounts?

It does not file accounts with the Registrar: for a private company it is sufficient that the accounts are available to shareholders, and no audit is required unless the articles require an auditor. Public companies file audited accounts within seven months of the year end. Every company still submits a corporate tax return by 30 November of the following year.
