Corporate secretarial in Malta

Every company in Malta must have a company secretary, and a company’s sole director may not hold the role, as set out in article 138 of the Companies Act. Corporate secretarial work is what follows: minutes and resolutions, registers of directors and members, changes of officers, annual returns and filings with the registry. For a company run from abroad it is the routine that keeps the company in good standing.

A firm can supply the secretary, or support one you appoint. Where a company is used as secretary, check that it is registered under the Company Service Providers Act. Ask what the retainer covers, whether board meeting preparation and registered-office service are included, and how quickly the firm turns around a change of director. Profiles show the licences each firm declares and the entity types it handles, including trusts, foundations and branches.

In Malta, 96 firms offer corporate secretarial work, made up of 45 accounting firms, 34 corporate services providers and 17 law firms. English is offered by 67, Italian by 18 and Maltese by 13, and 72 say they work with foreign clients. They name aviation, iGaming and financial services most often. Frequently asked questions

Can I be the company secretary of my own Maltese company?

If you are the sole director, no. The rules keep the two roles apart for most companies. A firm can act as secretary, or you can appoint another individual, subject to the conditions on the registry.

What does a secretarial retainer normally include?

Typically the registers, minutes and resolutions, officer changes and annual filings. Registered-office use and meeting support are sometimes extra. Ask for the scope in writing.

Does the secretary have to live in Malta?

The Act reviewed for this page sets no residence rule for the secretary. Practice and bank requirements can still differ, so ask your firm what it recommends for your structure.
