Corporate secretarial in Poland

Corporate secretarial work keeps a company’s legal paperwork in order after incorporation. In Poland it covers changes to the company register, minutes and resolutions of the board and shareholders, approval of the annual statements and the filing of the company’s beneficial owners.

That last filing has a fixed deadline: the data must be sent to the beneficial owner register within 14 days of the company’s entry in the court register, and the filing is free of charge. Late or inaccurate filings can lead to penalties, which is why many owners abroad hand the task to a firm.

A foreign owner should ask who keeps the corporate record book, how changes of directors or address are filed and in which language the resolutions are drafted. Check that the firm will brief you before any decision that needs your signature. In a profile, look for the entity types handled, such as limited liability companies, branches and foundations, and whether the firm is a law firm, an accounting firm or a corporate services provider.

Accountanty lists 76 firms for corporate secretarial services in Poland: 53 accounting firms, 13 corporate services providers and 10 law firms. In terms of languages, 47 work in English and 10 in German. Start with the country guide or the Warsaw page.

Frequently asked questions

What records must a Polish company keep?

Beyond the accounts, a company keeps its articles, resolutions and minutes of board and shareholder decisions, and a list of owners. A secretarial firm can hold and update these so they are ready for a bank, buyer or inspection.

Who files the beneficial owner information?

It must be filed by a person authorised to represent the company, so a firm acts with the board's authority. Agree who checks the data before filing, because inaccurate entries can be penalised.

Can the same firm act as my registered representative?

Some corporate services providers offer this together with secretarial work. Ask exactly what the role includes, who is named in the registers and how responsibility is shared with you.
